Since being sworn in as a lawyer in 2013, Pénélope has been assisting French and foreign companies and their directors/entrepreneurs both in their day-to-day management and in exceptional private equity, LBO and external growth transactions.
Before co-founding BGA Avocats, Pénélope worked for 7 years in the corporate M&A team at Fidal Paris.
This experience was the basis for her and her partner’s decision to set up BGA Avocats, a boutique law firm specialising in corporate and tax law, located between Nice and Paris.
Pénélope advises entrepreneurs and companies of all sizes, mainly on mergers and acquisitions, LBOs, restructurings and business combinations, acting as advisor to buyers, sellers or the management of target companies.
Incorporation, regular legal supervision of groups and companies, fund raising, equity transactions (capital increases and reductions, securities issues, etc.), reorganisations and restructurings, commercial contracts, transfers.
Assistance in restructuring operations (mergers, amalgamations, contributions, demergers) and LBO/OBO/MBO transactions.
Negotiation and drafting of legal documentation, due diligence, shareholders' agreements, optimisation of acquisition plans, bank guarantees, etc.
Assistance in setting up management packages and employee share schemes (stock options, free shares).
